Our governance structure and processes aim to engage all stakeholders transparently and contribute to the creation of a fair, inclusive and sustainable business.
At Givaudan, our corporate governance framework is based on Givaudan SA’s Articles of Incorporation, which is in turn based on the Swiss Code of Obligations.
The Company’s organisational regulation, ‘Board Regulations of Givaudan SA’, further clarifies Givaudan’s duties, powers and regulations of the governing bodies of the Company.
Our governance is based on a system of effective checks and balances. The primary governance bodies at Givaudan are the Annual General Meeting of shareholders (AGM), our Board of Directors, and the Executive Committee (EC). Each has different roles and responsibilities within our overall governance system.
Our governance structure ensures that ESG factors – including human rights and climate-related considerations – are fully integrated into our overall strategy, risk management, and business operations.
Our CEO and Chairman succession plans
In 2025, Givaudan announced key leadership transitions to take effect in 2026. After 21 years of outstanding leadership as Chief Executive Officer, Gilles Andrier will retire in March 2026. He will be succeeded by Christian Stammkoetter, formerly President Asia, Middle East & Africa at Danone, who will assume the role of Chief Executive Officer effective 1 March 2026. Calvin Grieder, Chairman of the Board since 2014, will step down at the 2026 Annual General Meeting after 12 years of dedicated service. The Board will propose Gilles Andrier for election as the new Chairman at the 2026 Annual General Meeting, ensuring continuity of vision and commitment to Givaudan’s purpose.
